Terms and conditions
Effective Date: September 16th, 2026
PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ICON ARCHIVES, A DBA OF RA ENTERTAINMENT LLC (“ICON ARCHIVES,” “WE,” “US,” OR “OUR”).
BY ACCESSING OR USING THIS WEBSITE, PLACING AN ORDER, SUBMITTING INFORMATION, OR OTHERWISE USING OUR WEBSITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE (“TERMS”).
THESE TERMS CONTAIN AN ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS. PLEASE REVIEW SECTION 23 CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE WEBSITE.
1. Acceptance of Terms
These Terms are a binding agreement between you and ICON ARCHIVES.
These Terms govern your access to and use of iconarchives.com and all content, products, features, services, and functionality made available through the Website.
Our Privacy Policy, Shipping/Delivery Policy, Return/Refund Policy, and any other policies or terms displayed on the Website are incorporated into these Terms by reference.
If you access or use the Website on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility
You must be at least eighteen (18) years old or the age of legal majority in your jurisdiction to independently enter into purchases through the Website.
If you are under the age of majority, you may use the Website only with the involvement and permission of a parent or legal guardian.
By using the Website or placing an order, you represent that you have the legal capacity to enter into these Terms.
3. Children’s Privacy
The Website is not directed toward children under thirteen (13) years of age.
ICON ARCHIVES does not knowingly collect personal information from children under thirteen except as permitted by applicable law.
Please review our Privacy Policy for additional information regarding our collection and use of personal information.
4. Products, Pricing, and Availability
We make reasonable efforts to display product photographs, colors, sizes, descriptions, measurements, specifications, and other product information accurately.
However, we cannot guarantee that colors displayed on your device will exactly match the physical product. Screen settings, lighting, photography, manufacturing variations, garment-dye processes, washes, distressing, and other factors may cause minor differences.
Product descriptions, images, specifications, pricing, promotions, and availability may be changed without notice.
All prices are listed in U.S. dollars unless otherwise stated.
We reserve the right to correct pricing, typographical, description, inventory, or other errors at any time, including after an order has been submitted.
Product availability is not guaranteed. Certain products may be produced or released in limited quantities and may sell out.
We may limit quantities purchased by any person, household, account, payment method, shipping address, or order.
We may cancel, limit, or refuse orders that we reasonably believe involve fraud, unauthorized transactions, bots, automated purchasing systems, resale activity that violates an applicable promotion, abuse of promotional offers, pricing errors, or other activity inconsistent with these Terms.
If we cancel an order after payment has been collected, we will refund the applicable amount as required by law.
5. Orders and Order Acceptance
Submitting an order constitutes an offer to purchase the products listed in your order.
An automated order confirmation does not necessarily constitute our final acceptance of your order.
We reserve the right to accept or decline an order in our discretion where permitted by applicable law.
A sale is generally considered accepted when we process and prepare the applicable merchandise for shipment.
We may cancel an order because of, among other things:
- inventory shortages;
- incorrect pricing or product information;
- suspected fraud;
- unauthorized payment;
- duplicate or suspicious orders;
- technical errors;
- violation of purchasing limits;
- misuse of promotions or discount codes; or
- circumstances preventing us from lawfully fulfilling the order.
If an order is canceled after you have been charged, the applicable amount will be refunded to the original payment method, subject to applicable law and payment-processor procedures.
6. Order Changes and Customer Cancellations
Because orders may enter processing shortly after submission, orders generally cannot be modified or canceled after they are placed.
This includes changes to products, sizes, colors, quantities, or shipping addresses.
We may attempt to assist with a correction if you contact us before fulfillment begins, but we do not guarantee that changes can be made.
Nothing in this section limits any cancellation or refund right that cannot legally be waived, including rights that may apply when an order cannot be shipped within the applicable promised timeframe.
7. Payment
Payments made through the Website are processed by third-party payment providers.
ICON ARCHIVES does not receive or store your complete payment-card information.
By submitting payment information, you represent that you are authorized to use the applicable payment method and authorize us and our payment providers to charge the total amount of your order, including merchandise, applicable taxes, shipping charges, and other charges clearly disclosed before purchase.
Your use of third-party payment services may also be subject to the terms and privacy policies of those providers.
We reserve the right to cancel an order if payment cannot be authorized, appears fraudulent, or is reversed.
8. Taxes
Applicable sales, use, or similar taxes may be collected as required by law.
Tax calculations may depend upon the shipping destination, applicable tax laws, product category, and information available at checkout.
You are responsible for any taxes, duties, customs charges, or governmental assessments that are legally your responsibility and are not collected by us at checkout.
9. Shipping, Delivery, and Risk of Loss
Orders are generally processed within approximately 3–7 business days, unless another timeframe is stated on the product page, checkout page, order confirmation, or Website.
Processing time is separate from carrier transit time.
Delivery estimates are estimates only and may be affected by circumstances outside our reasonable control, including carrier delays, weather, natural disasters, holidays, customs processing, service interruptions, and incorrect or incomplete shipping information.
You are responsible for providing complete and accurate shipping information.
We are not responsible for delays or additional costs caused by an incorrect or incomplete address supplied by the customer.
If we determine that we cannot ship merchandise within the timeframe required by applicable law or within a timeframe we specifically promised, we will provide any notice, cancellation opportunity, delayed-shipment consent opportunity, or refund required by applicable law.
Once an order has been transferred to a shipping carrier, delivery is subject to that carrier’s operations and procedures.
Risk of loss and title will transfer as provided by applicable law.
If tracking indicates delivery but you cannot locate your package, please contact the carrier and then contact ICON ARCHIVES so that we may determine what assistance may be available.
10. International Orders
We may make international shipping available to certain destinations.
Customers receiving orders outside the United States may be responsible for customs duties, import taxes, brokerage fees, tariffs, governmental assessments, or other charges imposed by the destination country.
Unless expressly stated otherwise at checkout, these charges are not included in the product price or shipping charge.
International delivery estimates may be affected by customs review and other cross-border procedures outside our control.
Customers are responsible for ensuring that products ordered may legally be imported into their country.
11. Returns, Exchanges, and Refunds
Unless otherwise stated in a product listing or required by applicable law, all sales are final.
We generally do not accept returns or exchanges because of a change of mind, incorrect size selection, or other customer preference.
If you receive an item that is materially damaged, defective, or incorrect, contact us promptly at info@iconarchives.com with your order number and photographs showing the issue.
We may require reasonable proof of the claimed defect, damage, or incorrect item before approving a replacement, store credit, or refund.
Items that show signs of wear, washing, alteration, misuse, damage occurring after delivery, or removal of applicable tags may be ineligible for a remedy except where otherwise required by law.
Products identified as limited release, promotional merchandise, personalized merchandise, or final-sale merchandise are final sale except where applicable law provides otherwise.
Original shipping charges are generally non-refundable except where required by law or where the refund results from an error by ICON ARCHIVES.
Our separate Returns and Refunds Policy, if provided on the Website, is incorporated into these Terms.
12. Promotions, Discount Codes, and Gift Cards
Promotions, discount codes, store credits, gift cards, giveaways, and special offers may be subject to additional restrictions disclosed at the time of the offer.
Unless expressly stated otherwise, promotional codes may not be combined.
Promotions may be restricted by product, customer, account, purchase amount, geographic area, or time period.
We reserve the right to reject, cancel, reverse, or modify promotional benefits that we reasonably determine resulted from fraud, abuse, unauthorized distribution, automated activity, technical error, or violation of the applicable promotional terms.
Gift cards and store credits may not be redeemed for cash except where required by law.
13. Accounts
If the Website allows customer accounts, you are responsible for providing accurate and current information.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
You agree to notify us promptly if you become aware of unauthorized access to or use of your account.
We may suspend or terminate accounts that we reasonably believe are involved in fraud, abuse, security threats, or violations of these Terms.
14. User Conduct
You agree not to use the Website to:
- violate any applicable law or regulation;
- engage in fraud or deceptive activity;
- impersonate another person or organization;
- interfere with the security or operation of the Website;
- attempt to gain unauthorized access to accounts, systems, servers, or data;
- introduce malware, viruses, harmful code, or similar technology;
- use bots, crawlers, scrapers, automated purchasing systems, or other automated tools in a manner that interferes with the Website or our business;
- circumvent purchase limits or security measures;
- collect information about other users without authorization;
- copy, reproduce, reverse engineer, or exploit the Website except as permitted by law;
- use Website content for unauthorized commercial purposes; or
- otherwise interfere with another person’s use of the Website.
15. User Content
If you submit reviews, photographs, comments, messages, videos, testimonials, social-media content, or other material to ICON ARCHIVES or through Website features (“User Content”), you retain ownership of your User Content.
However, you grant ICON ARCHIVES a non-exclusive, worldwide, royalty-free, transferable and sub-licensable license to use, reproduce, modify, publish, display, distribute, and otherwise use that User Content in connection with operating, promoting, and marketing ICON ARCHIVES and its products, subject to applicable law.
You represent that you own or possess the rights necessary to submit the User Content and grant this license.
You may not submit User Content that infringes intellectual-property rights, violates privacy rights, is fraudulent, defamatory, threatening, unlawful, obscene, malicious, or contains harmful software.
We reserve the right, but do not undertake an obligation, to review or remove User Content.
16. Intellectual Property Rights
The ICON ARCHIVES name, trademarks, logos, and other brand identifiers owned by or licensed to ICON ARCHIVES are protected by applicable intellectual property laws.
You may not use, copy, reproduce, imitate, or otherwise use the ICON ARCHIVES name, trademarks, or logos without our prior written permission, except as permitted by law.
The Website may also contain artwork, photographs, graphics, product designs, and other materials that are owned by ICON ARCHIVES, licensed to us, or used with permission from third parties.
Your use of the Website or purchase of our products does not grant you any ownership rights in the ICON ARCHIVES name, trademarks, logos, or other intellectual property belonging to ICON ARCHIVES or any applicable third party.
Copyright Complaints
If you believe that content displayed on the Website infringes your copyright, please contact us at info@iconarchives.com and provide sufficient information to identify the copyrighted work, the allegedly infringing material, your contact information, and a statement describing the basis of your claim.
We may remove or restrict access to material that we reasonably believe infringes the intellectual property rights of others.
17. Third-Party Websites and Services
The Website may integrate with or link to third-party services, including payment processors, shipping carriers, social-media platforms, financing providers, analytics companies, and other service providers.
ICON ARCHIVES does not control third-party websites or services.
Your use of a third-party service may be governed by that provider’s own terms, policies, and privacy practices.
To the extent permitted by law, we are not responsible for the independent acts, omissions, content, availability, or practices of third-party services.
18. Privacy
Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
By using the Website or providing personal information, you acknowledge that you have had the opportunity to review our Privacy Policy.
Where required by law, consumers may have privacy rights regarding personal information collected through the Website.
19. Email and SMS Communications
If you provide an email address or mobile telephone number, we may use that information for transactional or service-related communications regarding orders, shipping, customer-service requests, account activity, or similar matters.
If you separately consent to receive marketing communications, we may also send promotional emails or text messages in accordance with applicable law.
Consent to receive marketing communications is not a condition of purchasing merchandise unless expressly permitted by law.
You may unsubscribe from marketing email using the unsubscribe mechanism provided in the message.
For marketing SMS messages, you may follow the opt-out instructions provided in the applicable message, such as replying STOP, where supported.
Message and data rates may apply. Message frequency may vary.
Opting out of marketing communications does not necessarily prevent us from sending transactional or service-related communications permitted by law.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, ITS CONTENT, AND PRODUCTS OR SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY ICON ARCHIVES OR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED, WE DISCLAIM WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.
NOTHING IN THESE TERMS EXCLUDES ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LEGALLY BE EXCLUDED.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RA ENTERTAINMENT LLC, ICON ARCHIVES, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE WEBSITE OR PRODUCTS PURCHASED THROUGH THE WEBSITE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING FROM A CLAIM RELATING TO A PARTICULAR PURCHASE WILL NOT EXCEED THE GREATER OF:
(A) $100; OR
(B) THE AMOUNT YOU PAID TO ICON ARCHIVES FOR THE ORDER GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations of liability. Where such limitations are prohibited, they will apply only to the maximum extent permitted by applicable law.
Nothing in these Terms limits liability that cannot lawfully be limited.
22. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ICON ARCHIVES, and their officers, owners, employees, agents, contractors, and representatives from claims, liabilities, damages, losses, and reasonable costs arising from:
(a) your material violation of these Terms;
(b) your unlawful or unauthorized use of the Website;
(c) User Content submitted by you that infringes another person’s rights; or
(d) fraud, intentional misconduct, or unlawful conduct committed by you.
This provision does not require you to indemnify ICON ARCHIVES for liability resulting from ICON ARCHIVES’s own conduct where such indemnification is prohibited by law.
23. Governing Law; Dispute Resolution; Arbitration Agreement
Governing Law
Except where applicable consumer law provides otherwise, these Terms and disputes arising from them will be governed by the laws of the State of Nevada and applicable United States federal law, without regard to conflict-of-law principles.
Informal Dispute Resolution
Before commencing arbitration, you and ICON ARCHIVES agree to make a reasonable good-faith attempt to resolve the dispute informally.
You may contact us at info@iconarchives.com with your name, order number if applicable, a description of the dispute, and the relief requested.
Agreement to Arbitrate
Except for disputes eligible for small claims court or claims seeking qualifying injunctive relief, you and ICON ARCHIVES agree that disputes arising out of or relating to these Terms, the Website, your order, or products purchased from ICON ARCHIVES will be resolved through binding individual arbitration rather than a lawsuit in court, to the extent permitted by applicable law.
Arbitration will be administered under applicable consumer arbitration rules of the American Arbitration Association (“AAA”), unless the parties mutually agree to another arbitration provider.
The arbitration may take place by telephone, videoconference, written submissions, or at another location agreed upon by the parties, subject to applicable arbitration rules.
This arbitration provision is governed by the Federal Arbitration Act to the extent applicable.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ICON ARCHIVES AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Unless both parties agree otherwise, an arbitrator may not consolidate the claims of more than one person.
If a court determines that this class-action waiver is unenforceable with respect to a particular claim or request for relief, that claim or request will proceed as required by applicable law while the remainder of this Section remains effective to the extent permitted.
Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ICON ARCHIVES EACH KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY FOR CLAIMS COVERED BY THIS DISPUTE-RESOLUTION SECTION.
Small Claims and Injunctive Relief
Either party may bring an eligible individual claim in small claims court.
Nothing in this Section prevents either party from seeking appropriate temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or other rights where permitted by law.
Arbitration Opt-Out
You may opt out of this arbitration agreement by sending written notice to info@iconarchives.com within thirty (30) days after the date you first become subject to these Terms.
Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration provision in the ICON ARCHIVES Terms of Use.
Opting out of arbitration will not affect the remaining provisions of these Terms.
24. Chargebacks and Fraud
If you believe a charge is incorrect, please contact us so that we may attempt to resolve the issue.
We reserve the right to contest chargebacks that we reasonably believe are invalid, fraudulent, abusive, or inconsistent with the transaction history or applicable payment-network rules.
We may provide relevant transaction records, order information, shipment information, communications, and other evidence to payment processors, banks, fraud-prevention providers, or other parties involved in resolving a payment dispute, subject to applicable law and our Privacy Policy.
Suspected fraudulent transactions may be canceled, investigated, or reported to appropriate payment providers or authorities where legally permitted.
25. Termination and Suspension
We may restrict, suspend, or terminate your access to the Website or an account where we reasonably believe that you:
- materially violated these Terms;
- engaged in fraudulent or unlawful activity;
- attempted to compromise Website security;
- abused promotions or purchasing systems; or
- created material risk or harm to ICON ARCHIVES, other customers, or third parties.
You may stop using the Website at any time.
Termination does not eliminate rights or obligations that arose before termination.
26. Modifications to the Website and Terms
We may modify, suspend, discontinue, or update portions of the Website from time to time.
We may also update these Terms.
When we make material changes, we will update the Effective Date above and provide any additional notice required by applicable law.
The version of the Terms in effect when a transaction occurs generally governs that transaction unless otherwise required by law.
Your continued use of the Website after updated Terms become effective constitutes acceptance of those updated Terms where legally permitted.
27. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, Shipping Policy, Returns and Refunds Policy, and any other terms expressly incorporated by reference, constitute the agreement between you and ICON ARCHIVES concerning your use of the Website.
Severability
If a provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and, where appropriate, severed without affecting the enforceability of the remaining provisions.
No Waiver
Our failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce that provision later.
Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent.
ICON ARCHIVES may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, transfer of the ICON ARCHIVES business, or similar transaction, subject to applicable law.
No Agency
Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between you and ICON ARCHIVES.
Headings
Section headings are provided for convenience and do not limit the meaning or interpretation of these Terms.
